Digital Download License Terms

By purchasing, downloading, accessing, printing, or using any digital product made available by The Dementia Ally, LLC (“Seller”), Buyer agrees to these Digital Download License Terms.

  1. Parties; Scope

These Digital Download License Terms govern the purchase and use of digital guides, preference cards, forms, templates, collections, sets, PDFs, and related files made available by Seller through Seller’s website or storefront.

These terms apply to each digital product purchased from Seller unless Seller provides separate written license terms for a specific Product.

  1. Definitions

For purposes of these terms:

“Buyer” means the person or entity purchasing the Product.

“End User” means the one individual living with dementia for whose care or support the Product is licensed to be used.

“Preference Card” means an individualized digital card designed to document preferences, routines, supports, or other information relating to an End User.

“Quick Guide” means an educational digital guide intended to provide Buyer with information relating to dementia care and support.

“Product” means any digital Quick Guide, Preference Card, form, template, PDF, set, collection, or related file purchased from Seller.

“Seller” means The Dementia Ally, LLC, a Tennessee limited liability company.

  1. License Grant

Subject to these terms, Seller grants Buyer a limited, non-exclusive, non-transferable, non-sublicensable license to use the purchased Product solely for Buyer’s personal educational use in connection with one End User and only within the scope expressly permitted by these terms.

The Product is licensed, not sold. No ownership interest in the Product or any related intellectual property is transferred to Buyer.

  1. Product-Specific Scope of Use

The permitted scope of use depends on the Product purchased.

4.1 Complete Collection of Quick Guides and Preference Cards

If Buyer purchases a collection containing multiple Quick Guides and Preference Cards, the license permits Buyer to use the included Quick Guides for Buyer’s personal educational use in connection with one End User and to use the included Preference Cards for that same End User only.

Buyer may print replacement or updated copies of the included Preference Cards for that same End User.

4.2 Quick Guide and Preference Card Set

If Buyer purchases a set containing one Quick Guide and one Preference Card, the license permits Buyer to use the Quick Guide for Buyer’s personal educational use in connection with one End User and to use the Preference Card for that same End User only.

Buyer may print replacement or updated copies of the Preference Card for that same End User.

4.3 Single Preference Card

If Buyer purchases a single Preference Card, the license permits use of that Preference Card for one End User only.

Buyer may print replacement or updated copies of the Preference Card for that same End User.

4.4 Single Quick Guide

If Buyer purchases a single Quick Guide, the license permits Buyer to use the Quick Guide for Buyer’s personal educational use in connection with one End User only.

Buyer may print one copy of the Quick Guide for Buyer’s own reference. The Quick Guide may not be distributed or provided to the End User or any other person except as expressly authorized in writing by Seller.

4.5 Reusable Preference Cards

Buyer may laminate a printed Preference Card and use an appropriate erasable, wet-erase, or washable writing instrument to update the card as the applicable End User’s preferences or needs change.

Laminating or repeatedly updating a Preference Card does not expand the license to any additional End User.

  1. Permitted Sharing of Completed Preference Cards

Buyer may share a completed Preference Card with persons directly involved in the care or support of the applicable End User when doing so is reasonably necessary to communicate that End User’s preferences, routines, or support needs.

This permission applies only to a completed Preference Card relating to the licensed End User.

This permission does not allow Buyer or any recipient to share, reproduce, distribute, or otherwise make available any blank Preference Card, blank form, Quick Guide, template, editable file, or other digital Product.

Receipt of a completed Preference Card does not grant the recipient any license to the underlying Product.

  1. Restrictions

Except as expressly permitted by these terms, Buyer may not, and may not permit any other person or entity to:

  1. copy, forward, email, upload, post, publish, reproduce, distribute, transmit, sell, resell, sublicense, or otherwise make available any Product, blank Preference Card, blank form, Quick Guide, template, or digital file;
  2. use a Product in connection with any person other than the single End User covered by the applicable purchase;
  3. use a Product with additional individuals without a separate purchase or appropriate professional, multi-user, or organizational license;
  4. share, store, or make a Product available on any shared drive, team workspace, learning management system, shared cloud folder, intranet, website, portal, database, or other location accessible by multiple users;
  5. use a Product for any professional, clinical, institutional, organizational, governmental, nonprofit, classroom, training, or commercial purpose, or in any multi-user setting, unless Seller has granted an appropriate professional, multi-user, or organizational license in writing;
  6. modify, adapt, extract, repackage, translate, incorporate into another resource, or create derivative materials from a Product for redistribution or use by others;
  7. remove, alter, conceal, or obscure any copyright notice, trademark, attribution, watermark, or other proprietary notice appearing on a Product;
  8. assign, transfer, sublicense, or otherwise convey the license granted under these terms; or
  9. use any Product in a manner that suggests Seller has endorsed, approved, supervised, or participated in Buyer’s services, organization, care, or activities unless Seller has expressly agreed to that representation in writing.
  1. Additional End Users; Professional and Organizational Use

A separate purchase or an appropriate professional, multi-user, or organizational license is required for each additional End User.

Purchase of an individual-use Product does not authorize Buyer to reproduce or use the Product across a caseload, classroom, program, facility, organization, practice, agency, support group, training program, or other multi-person setting.

Use with multiple clients, residents, patients, families, students, participants, staff members, or other End Users requires an appropriate professional, multi-user, or organizational license issued by Seller.

Professionals and organizations should contact Seller regarding appropriate licensing before using or distributing Products beyond the individual-use license granted by these terms.

  1. Intellectual Property; Reservation of Rights

Seller retains all right, title, and interest in and to the Products and all related copyrights, trademarks, trade dress, compilations, layouts, designs, text, graphics, illustrations, and other intellectual property rights.

Purchase of a Product does not transfer any copyright or other intellectual property ownership to Buyer.

All rights not expressly granted under these terms are reserved by Seller.

  1. Educational Use Only; No Professional Advice

Products are provided for educational and informational purposes only.

Products do not constitute medical advice, diagnosis, treatment, nursing advice, therapeutic advice, legal advice, or other professional advice and are not a substitute for consultation with appropriately qualified professionals.

Buyer is solely responsible for determining how a Product is used and for obtaining appropriate professional guidance when needed.

Nothing in a Product creates a healthcare provider-patient, therapist-client, attorney-client, fiduciary, or other professional relationship between Seller and Buyer, an End User, or any other person.

  1. Disclaimer of Warranties

Products are provided on an “as is” and “as available” basis to the fullest extent permitted by applicable law.

To the fullest extent permitted by applicable law, Seller disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Seller does not warrant that a Product will meet Buyer’s or an End User’s particular needs, produce any particular result, prevent any particular outcome, be error-free, uninterrupted, or suitable for every individual or situation.

  1. Limitation of Liability

To the fullest extent permitted by applicable law, Seller shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of revenue, profits, business, data, or goodwill, arising out of or relating to a Product, its use or inability to be used, or these terms, even if Seller has been advised of the possibility of those damages.

To the fullest extent permitted by applicable law, Seller’s total aggregate liability arising out of or relating to a Product or these terms shall not exceed the amount actually paid by Buyer for the specific Product giving rise to the claim.

Nothing in these terms excludes or limits liability to the extent that liability cannot be excluded or limited under applicable law.

  1. Term; Termination

The license begins upon purchase and continues unless terminated under these terms.

The license terminates automatically if Buyer breaches any provision of these terms.

Upon termination, Buyer must immediately cease unauthorized use of the Product and delete or destroy all digital copies and unused or blank printed copies in Buyer’s possession or control.

Completed Preference Cards previously shared in accordance with Section 5 need not be retrieved, but termination does not authorize any new copying, distribution, sharing, or use of the Product.

  1. Unauthorized Use

Any use of a Product outside the scope of the license granted under these terms is unauthorized.

Seller may revoke access to a Product and pursue any rights or remedies available at law or in equity in response to breach of contract, copyright infringement, or other unauthorized use.

Seller’s exercise of one remedy does not prevent Seller from pursuing any other remedy available under applicable law.

  1. No Waiver

Seller’s failure or delay in enforcing any provision of these terms does not constitute a waiver of that provision or Seller’s right to enforce that or any other provision in the future.

  1. Severability

If any provision of these terms is determined to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by applicable law, and the remaining provisions shall remain in full force and effect.

  1. Governing Law; Venue

These terms, and any dispute, claim, or controversy arising out of or relating to a Product, these terms, or the relationship of the parties, whether sounding in contract, tort, statute, or otherwise, are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws principles.

Subject to applicable law, any action or proceeding arising out of or relating to a Product or these terms shall be brought exclusively in the state courts located in Blount County, Tennessee, or, if federal jurisdiction exists, the United States District Court for the Eastern District of Tennessee, Knoxville Division.

Buyer and Seller consent to the personal jurisdiction of those courts and waive any objection based on improper venue or forum non conveniens.

  1. Relationship to Seller’s Other Terms

These Digital Download License Terms are part of Seller’s applicable Terms of Use and are incorporated together with Seller’s Privacy Notice, each as made available to Buyer before purchase. Refunds, cancellations, and access-related purchase issues are governed by Seller’s Terms of Use as presented before purchase.

If Seller provides product-specific written license terms that expressly conflict with these Digital Download License Terms, the product-specific terms control solely with respect to the applicable Product and the conflicting provision.

  1. Entire Agreement Regarding Product License

These Digital Download License Terms, together with the applicable product description, Seller’s applicable Terms of Use, Privacy Notice, and any product-specific written license issued by Seller, constitute the entire agreement between Seller and Buyer regarding the purchase and permitted use of the Product.
